Shipenza
Terms of Service
Last updated: October 17, 2026
These Terms of Service (the "Terms") govern access to and use of the Shipenza platform (the "Platform") by the courier, mailbox and logistics companies that contract it (the "Courier") and the people who use it on their behalf (the "Users"). By creating an account, accepting a subscription order or using the Platform, the Courier accepts these Terms. If the person accepting acts on behalf of a company, they represent that they have authority to bind it. The Platform is a service for businesses; it is not directed at consumers.
1.Who we are
"Shipenza", "we", "us" and "our" mean SonixByte LLC, a Wyoming limited liability company (United States), which operates the Platform under the Shipenza brand. Address: 30 N Gould St #59834, Sheridan, WY 82801, USA.
2.What Shipenza is and is not
Shipenza is software as a service (SaaS) for running courier and mailbox companies: package intake, consolidations, tariffs, billing, payment records, delivery routes, customer messaging and a customer portal under each Courier’s brand. Each Courier operates in an isolated space under its own subdomain or domain.
Shipenza is solely the software provider. Shipenza is not a carrier, freight forwarder, customs broker, warehouse, payment intermediary or party to any sale, shipment or delivery. Shipenza has no physical access to the goods, does not hold, dispatch or clear them, and does not deal with customs. The entire logistics, commercial and tax operation belongs to the Courier.
The Platform does not provide legal, tax, customs or accounting advice. The calculations it offers (tariffs, volumetric weight, taxes, balances, reports) are tools configured by the Courier; the Courier is responsible for verifying them before invoicing or collecting.
3.Accounts, Users and access security
The Courier designates its Users (staff, drivers, accountants, partner agencies) and defines their permissions. The Courier is responsible for all activity carried out from its accounts, with or without its authorization, until it notifies Shipenza of an unauthorized access. Credentials are personal and non-transferable; the Courier must keep them confidential, remove access from anyone no longer authorized and enable the security measures available.
Shipenza may require additional verification, reset credentials or block an access when it detects a risk to the Platform or to other Couriers.
4.The Courier’s responsibility for its operation
The Courier is solely responsible for its business and, in particular, for:
- Holding the licenses, registrations, permits, insurance and authorizations required in each country where it operates (transport, courier, customs, tax, consumer protection, data protection).
- The transport, storage, consolidation, customs clearance, delivery and return of the goods, and any loss, damage, delay, seizure, fine or penalty related to them.
- Complying with export, import, customs, sanctions and prohibited or restricted goods rules, and not loading shipments onto the Platform that breach them.
- Its tariffs, invoices, taxes, withholdings, tax documents and books. The documents the Platform generates are commercial records configured by the Courier; meeting the applicable tax requirements is the Courier’s job.
- Its relationships with its end customers, agencies, partners, suppliers and employees, including claims, warranties, refunds and disputes. The Courier’s end customers are not parties to these Terms and have no rights against Shipenza.
- Publishing, and having its customers accept, its own terms, conditions and privacy notices, through the Platform’s tools or otherwise.
- The truthfulness, accuracy and lawfulness of the data, texts, logos, photos and documents it loads, including those imported from other systems.
5.Personal data: roles and processing on instructions
For the data of the Courier’s end customers, employees and contacts ("Courier Data"), the Courier is the data controller and Shipenza acts as processor. This section serves as the data processing agreement. Shipenza undertakes to:
- Process Courier Data only to provide, maintain, protect and improve the Platform and per the Courier’s documented instructions, which include these Terms and the configuration the Courier sets in the Platform.
- Keep it confidential and limit access to its authorized personnel, bound by confidentiality duties.
- Apply reasonable technical and organizational measures (encryption in transit, hashed passwords, role-based access control, per-company isolation, audit trail, encrypted backups).
- Use sub-processors only for hosting, backup, email delivery, DNS, messaging and similar services, under equivalent obligations; the list by category is in the Privacy Policy and may be updated with notice.
- Notify the Courier without undue delay upon becoming aware of a security breach affecting Courier Data, and reasonably assist it with data-subject requests and legal obligations.
- At the end of the service, make Courier Data available for export during the period stated in the termination section and delete it afterwards, unless the law requires retention.
The Courier warrants that it has the legal basis, notices and consents needed to process Courier Data on the Platform and to transfer it to the countries where Shipenza and its sub-processors host it (currently the United States), and answers to data subjects and authorities for that processing.
6.Customer communications (email and messaging)
Notifications, statements, campaigns and messages that leave the Platform are sent on behalf of the Courier and under its brand. The Courier is the sender and is responsible for their content, their recipients and compliance with anti-spam laws and messaging providers’ policies (for example, WhatsApp’s or Meta’s when the Courier connects those channels).
Shipenza may limit, pause or suspend sending when it detects bounces, complaints, non-consented contact lists or a risk to the shared sending domain’s reputation, and may require the Courier to use its own verified domain. Shipenza does not guarantee delivery, inbox placement or reading of any message. DNS configuration of the Courier’s own domain is the Courier’s responsibility.
7.Payments between the Courier and its customers
The Platform records invoices, reported payments, verifications and balances, but funds move directly between the customer and the Courier’s accounts (transfers, Zelle, Pago Móvil, cash, USDT, PayPal or others). Shipenza is not a payment processor, does not hold or transfer funds, does not act as escrow and does not guarantee any payment.
If the Courier connects third-party gateways or accounts (for example Stripe or PayPal), it does so under those providers’ terms and with its own credentials; Shipenza is not a party to that relationship. Each payment is verified by the Courier’s team. Shipenza is not liable for fake payments, chargebacks, fraud, reconciliation errors, disputes or claims between the Courier and its customers or their banks. The Platform does not store full card numbers.
8.Subscription, pricing and Shipenza billing
Access is contracted by plan under the subscription order or agreement in force with each Courier (the "Agreement"). Unless the Agreement says otherwise:
- Fees are paid in advance, monthly or yearly, in US dollars, and are non-refundable except where applicable law provides otherwise.
- Prices exclude taxes, withholdings and bank fees; the Courier bears them and pays the full amounts.
- Each plan has limits (for example mailboxes, users, branches or features). Shipenza may enforce them technically and offer add-ons or a higher plan.
- Trial periods are free, limited in time and scope, and may be ended at any time; when they expire, access continues only under a paid plan.
- Shipenza may change prices with at least sixty (60) days’ notice, never within an annual period already paid.
- Non-payment entitles Shipenza, after notice, to suspend access until it is settled and, after a reasonable period, to terminate the service.
9.Acceptable use
The Courier and its Users may not:
- Use the Platform for unlawful activity, for prohibited or restricted goods, to evade customs, tax or sanctions controls, or to launder money.
- Upload illegal or defamatory content, content that infringes third-party rights, or content containing malicious software.
- Send unsolicited bulk messages, use contact lists without consent, or impersonate another person or company.
- Attempt to access other Couriers’ data, bypass permissions, limits or security measures, or perform penetration testing without Shipenza’s written authorization.
- Copy, decompile, reverse engineer, systematically extract data (scraping), resell, sublicense or make the Platform available to third parties outside its own operation.
- Generate abnormal load, interfere with the service, or use the Platform to build a competing product.
Shipenza may remove content, limit features or suspend accounts upon a breach or a reasonable risk, giving notice where possible.
10.Intellectual property and licenses
The Platform, its code, design, documentation, trademarks and every development or improvement, including those resulting from the Courier’s suggestions, are and will remain the exclusive property of Shipenza and its licensors. Shipenza grants the Courier, for the term of the Agreement, a limited, non-exclusive, non-transferable and revocable license to use the Platform in its own operation. No other right is transferred; white-labeling (subdomain, custom domain, logo, colors) does not make the Courier the owner of the software.
Courier Data, the Courier’s brand and content belong to the Courier. The Courier grants Shipenza a worldwide, non-exclusive, royalty-free license to host, process, back up, transmit and display them solely to provide the service. Shipenza may use aggregated, anonymized data that identifies neither the Courier nor its customers to operate and improve the Platform. The Courier’s suggestions and feedback may be used freely by Shipenza without any obligation.
11.Availability, changes, support and backups
Shipenza strives to keep the Platform continuously available but does not guarantee any availability level, response time or bug fix unless a service level agreement signed in writing establishes it. Interruptions may occur due to maintenance (scheduled with the least possible impact), provider failures, attacks, force majeure or causes beyond Shipenza’s control.
Shipenza may add, modify, replace or withdraw features, integrations and providers; when a change removes a relevant feature, it will give reasonable advance notice. Features marked beta, pilot or preview are offered as is and may be withdrawn without notice.
Shipenza performs periodic backups as a continuity measure, not as the Courier’s archive. The Courier is responsible for exporting and keeping copies of the information it needs for its legal, accounting and commercial obligations. Support is provided through the channels and hours agreed with each Courier.
12.Disclaimer of warranties
To the fullest extent permitted by law, the Platform is provided "as is" and "as available". Shipenza gives no express or implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or continuity. In particular, Shipenza does not warrant that the Platform is error-free, that calculations of tariffs, weights, taxes, balances or reports are accurate, that tracking information provided by third parties is correct, or that the results meet the legal or tax requirements of each country. The Courier acknowledges that it reviews and approves documents and amounts before using them with its customers or authorities.
13.Limitation of liability
To the fullest extent permitted by law, Shipenza, its partners, directors, employees and suppliers shall not be liable for: (a) indirect, incidental, special, punitive or consequential damages; (b) lost profits, loss of business, goodwill, reputation or anticipated savings; (c) loss, damage, theft, delay, seizure or destruction of goods, or fines, duties, taxes or penalties from any authority; (d) claims by the Courier’s end customers, agencies, partners, employees or third parties; (e) loss or alteration of data beyond what is recoverable from the latest available backup; (f) acts or omissions of third parties, including email, messaging, payment, transport, hosting or telecommunications providers; (g) misuse of credentials or breaches by the Courier or its Users; or (h) force majeure events.
Shipenza’s total aggregate liability for any claim arising out of or relating to the Platform or these Terms, whether in contract, tort or otherwise, shall not exceed the amount actually paid by the Courier to Shipenza for the service during the three (3) months preceding the event giving rise to the claim. These limitations apply even if advised of the possibility of damage and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions; in that case they apply to the maximum extent permitted.
14.Indemnification
The Courier shall defend, indemnify and hold harmless Shipenza, its partners, directors, employees and suppliers from any claim, demand, investigation, fine, loss, damage, cost and expense (including reasonable legal fees) arising out of or relating to: (a) the Courier’s operation, its shipments, goods, customs, taxes and deliveries; (b) Courier Data and its processing, including notices, consents and data-subject requests; (c) the content and communications the Courier sends or publishes; (d) claims by its end customers, agencies, partners, employees or third parties; (e) a breach of these Terms, the Agreement or the law by the Courier or its Users; or (f) the use of payment, messaging or other third-party providers connected by the Courier. Shipenza will notify the Courier of the claim and may participate in its defense with counsel of its choice.
15.Confidentiality
Each party shall keep confidential the other’s non-public information accessed through the service (commercial terms, operational data, technical information) and use it only to perform these Terms, during the term and for three (3) years afterwards. Excluded is information that is public, previously and lawfully known, independently developed, or that must be disclosed by law or order of an authority, with notice to the other party where lawful.
16.Suspension and termination
The Courier may end the service at the end of the paid period by notifying Shipenza; amounts already paid are not refunded. Shipenza may suspend or terminate the service, with notice where reasonably possible, for non-payment, breach of these Terms or the Agreement, use that creates legal, security or reputational risk for Shipenza or other Couriers, or a demand from an authority; in serious cases suspension may be immediate.
Upon termination, access ends for all Users and for the Courier’s customer portal. During the following thirty (30) days the Courier may request an export of its data in a commonly used format. Afterwards Shipenza will delete Courier Data from active systems and, within the following ninety (90) days, from backups, except what the law requires to be kept (for example billing and audit records). The sections on intellectual property, confidentiality, disclaimer of warranties, limitation of liability, indemnification, governing law and general provisions survive termination.
17.Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government acts, blockades, failures of the internet, power or infrastructure providers, cyberattacks or strikes. Payment obligations are not suspended by force majeure.
18.Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, United States, without applying its conflict-of-law rules or the United Nations Convention on Contracts for the International Sale of Goods. Before starting any action, the parties will try to resolve the dispute in good faith for thirty (30) days from written notice. After that period, the dispute shall be submitted to the competent state or federal courts located in the State of Wyoming, waiving any other venue, without prejudice to Shipenza’s right to seek injunctive relief in any jurisdiction to protect its intellectual property or the Platform’s security. Every claim shall be brought individually; the Courier waives participation in class actions. Any claim must be brought within one year of the event giving rise to it.
19.Changes to these Terms
Shipenza may modify these Terms. Material changes will be communicated to active Couriers at least thirty (30) days in advance through the Platform or by email to the account administrator; changes required by law or for security may apply immediately. Using the Platform after the effective date means accepting the new Terms; if the Courier disagrees, it may end the service before that date.
20.General provisions
- Entire agreement: these Terms, the Privacy Policy and the Agreement are the entire agreement between the parties and replace any prior understanding. In case of conflict, the signed Agreement prevails, then these Terms.
- Language: these Terms are published in Spanish and English; in case of discrepancy the Spanish version prevails.
- Assignment: the Courier may not assign these Terms without Shipenza’s written consent. Shipenza may assign them to an affiliate or a successor of its business, notifying the Courier.
- Independent parties: there is no partnership, agency, franchise or employment relationship between the parties. End customers and other third parties are not beneficiaries of these Terms.
- Trade compliance: each party will comply with applicable export, sanctions and anti-corruption laws. The Courier represents that neither it nor its owners appear on sanctions lists.
- Notices: communications to Shipenza go through the channels in the contact section; those to the Courier go to its account administrator’s email or inside the Platform.
- Severability and waiver: if a clause is invalid, the rest remains in force and the clause will be read as closely as possible to its purpose. Not exercising a right is not a waiver.
- Electronic acceptance: acceptance by electronic means (click, sign-up, use) is fully valid as a signature.
